Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Spok platform ("Service"), operated by Spok Limited ("Spok", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

"Account" means the account you create to access the Service. "Content" means all data, text, documents, and other materials you upload to or create within the Service. "Fund" means a venture capital fund entity managed through the Service. "User" means any individual authorized to access the Service under your Account.

2. Account Terms

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old and have the legal authority to enter into these Terms.
  • One person or legal entity may maintain no more than one free account.
  • You are responsible for all activity that occurs under your account.

3. Use License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not:

  • Sublicense, sell, resell, transfer, assign, or distribute the Service.
  • Modify, reverse engineer, or create derivative works of the Service.
  • Access the Service to build a competitive product or service.
  • Use the Service in any way that violates applicable laws or regulations.
  • Use automated means to access the Service beyond what we provide.

4. Payment Terms

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change our fees with 30 days' notice. If you dispute a charge, contact us within 60 days.

5. Free Trial

We offer a 21-day free trial with full access to all features. No credit card is required. At the end of the trial, your account moves to read-only mode. All your data is preserved and accessible if you upgrade to a paid plan.

6. Cancellation and Termination

  • You may cancel your account at any time from your account settings.
  • Upon cancellation, your data will be retained for 30 days, after which it will be permanently deleted.
  • We may suspend or terminate your account if you violate these Terms.
  • You may export all your data at any time before cancellation.

7. Your Data

You retain all rights to your Content. We do not claim ownership of your data. We will not access your Content except as necessary to provide the Service, comply with law, or enforce these Terms.

  • Your data is isolated per fund — team members of one fund cannot access another fund's data.
  • You can export all data (companies, notes, documents, investments) at any time in CSV or JSON format.
  • We do not sell, share, or use your data for advertising purposes.

8. AI Features

The Service includes AI-powered features such as research report generation, document extraction, and email classification. These features:

  • Process your Content using third-party AI providers (Anthropic, Google) under their enterprise terms.
  • Are provided "as-is" and should not be relied upon as the sole basis for investment decisions.
  • May produce inaccurate results — you are responsible for verifying AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold Spok harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of Auckland, New Zealand.
